1. Definitions
In these Terms and Conditions:
• “The Company” refers to Sinclair Electrical NW Limited and any authorised employees, agents, or subcontractors acting on its behalf.
• “The Client” refers to any person, company, or organisation instructing or accepting a quotation, estimate, or service from the Company.
• “Works” refers to all electrical services, installations, repairs, inspections, and related activities undertaken by the Company.
• “Quotation” means a written fixed-price offer for specific works.
• “Estimate” means an approximate price based on available information at the time of issue.

2. Acceptance of Terms
2.1. An instruction to proceed with works, whether written, verbal, or electronic (including email, text message, WhatsApp, Facebook, or Instagram), shall be deemed acceptance of these Terms and Conditions.
2.2. Written confirmation is required before works commence.
2.3. Quotations are valid for seven (7) days from issue unless otherwise stated in writing.

3. Quotations and Estimates
3.1. A quotation represents a fixed price for the specified works regardless of time taken, unless otherwise agreed in writing.
3.2. An estimate represents an approximate price, subject to variation if unforeseen issues arise or access is limited.
3.3. Additional or varied works requested by the Client will be subject to a separate or updated quotation and must be agreed before commencement.
3.4. Quotations assume works will be undertaken during normal working hours (08:30–17:00, Monday to Friday).
3.5. Weekend or out-of-hours work will be priced separately.
3.6. Quotations assume adequate access and parking are available. Where parking fees or permits are required and not included, these will be added to the final invoice.
3.7. The Company reserves the right to amend prices in the event of manufacturer or supplier price increases outside its control.

4. Workmanship, Standards, and Guarantees
4.1. All works will be carried out by qualified and competent engineers in accordance with current British Standards and applicable regulations.
4.2. The Company provides a 12-month guarantee on workmanship and fundamental installation materials.
4.3. Manufacturer warranties apply to specific products such as luminaires, heaters, and other accessories. The Company shall not be liable for manufacturer defects or for tampering by others after completion.
4.4. Full and partial rewires are covered by a 6-year NICEIC-backed warranty.
4.5. Anti-tamper seals will be fitted to consumer units and certain fixed equipment. Removal or interference by others will void all warranties.

5. Materials and Ownership
5.1. All materials and equipment supplied remain the property of the Company until full payment is received.
5.2. The Company reserves the right to refuse to install any client-supplied equipment deemed unsafe, non-compliant, or substandard.
5.3. Additional labour or modification required to install non-standard accessories will incur extra charges.
5.4. The Company accepts no responsibility for failures arising from client-supplied materials.

6. Testing, Inspections, and EICRs
6.1. During inspection or testing, the Client must disconnect sensitive electronic equipment from the mains.
6.2. The Company accepts no liability for damage to such equipment if it remains connected.
6.3. The Client must advise the Company if external equipment (e.g., PIR lighting) is connected to socket circuits.
6.4. EICR certificates are issued once payment has been received in full.
6.5. Any remedial works identified during an EICR are quoted separately.
6.6. If another contractor carries out remedial works, the Company will not retest or validate those works.
6.7. Where dangerous conditions are identified, the Company has a duty of care to make installations safe, which may involve isolating circuits.

7. Site Conditions and Making Good
7.1. The Company endeavours to minimise disturbance, but some disruption to finishes may be unavoidable.
7.2. Unless specifically stated, quotations do not include plastering, decoration, cleaning, or replacement of pre-damaged flooring.
7.3. Reinstatement works requested beyond the original quotation will be invoiced separately.
7.4. The Company is not responsible for loss or theft of materials or tools from unsecured sites.

8. Variations and Additional Work
8.1. Any variations or additions to the agreed works must be reported promptly by the Client.
8.2. Such works will be priced separately and agreed in writing before commencement.
8.3. Additional visits required for unforeseen works will be invoiced separately.

9. Emergency Works
9.1. Emergency works will be agreed with the Client prior to commencement where possible.
9.2. In urgent situations where the Client is unavailable, the Company will act reasonably to ensure safety and minimise cost.
9.3. Emergency works are chargeable, and certain circuits may remain isolated until a permanent repair can be arranged.

10. Payments and Billing
10.1. Payment is due on completion of works, unless otherwise stated in writing.
10.2. Accepted payment methods: bank transfer, card, or cash. Cheques accepted only by prior agreement.
10.3. Deposits and Stage Payments:
• Deposits may be required for ordering non-returnable materials.
• Deposits are refundable if works are cancelled within a reasonable time and no costs have been incurred.
• Stage payments become non-refundable once work has commenced.
10.4. Booking Fees and Date-Secure Payments:
• A “Booking Fee” or “Secure-the-Date” payment reserves specific engineer time and planning resources and is non-refundable.
• If access is unavailable on the agreed date, additional charges will apply.
10.5. The Company reserves the right to withhold certification or guarantees until payment is received in full.

11. Late Payment and Debt Recovery
11.1. Overdue payments exceeding seven (7) days will incur:
• 10% interest on the outstanding balance, and
• An administration charge of £30 + VAT per communication relating to payment reminders.
11.2. Unpaid invoices may be referred to an external debt recovery or legal representative.
11.3. If an invoice appears incorrect, the Client must notify the Company promptly; disputed amounts will be suspended until resolved.

12. Waste Removal
12.1. Unless expressly included in a quotation, waste removal is not provided.
12.2. If requested, disposal costs will be invoiced separately.

13. Cancellations
13.1. Cancellations must be made in writing.
13.2. Materials already ordered or non-returnable items will incur a 20% handling charge.
13.3. Cancellations within 48 hours of the scheduled work may incur labour charges for allocated engineer time.
13.4. The Company will act reasonably and charge only for genuine losses incurred.

14. Liability
14.1. The Company is not liable for:
• Damage or loss caused by other trades or contractors.
• Delays caused by circumstances beyond its control (e.g., weather, supplier delays, sickness, traffic, etc.).
• Damage to sensitive equipment not disconnected during testing.
14.2. The Company carries full public liability and tradesman’s insurance; however, losses from unsecured sites are not covered.
14.3. The Company is not responsible for DNO (Distribution Network Operator) charges unless stated in writing.

15. Subcontractors
15.1. The Company may engage competent subcontractors to perform part or all of the works.
15.2. All subcontractors operate under the authority and insurance of Sinclair Electrical NW Limited and are bound by these Terms and Conditions.
15.3. The Company remains the principal contractor and retains overall responsibility for quality and compliance.

16. Snagging and Remedial Works
16.1. Any snags identified within the scope of the Company’s works will be rectified during the same visit or by a scheduled return visit.
16.2. Issues caused by other trades or unrelated works will be chargeable on a time and materials basis.

17. Rates and Minimum Charges
17.1. The minimum charge for attendance is £60.00 + VAT (covering the first hour on site).
17.2. Thereafter, labour is charged at £50.00 + VAT per hour, billed in 30-minute increments unless otherwise quoted.
17.3. All prices are subject to VAT at the prevailing rate.

18. Termination
18.1. The Company reserves the right to terminate any contract or cease work immediately where:
• The Client breaches these Terms and Conditions, or
• Payment terms are not met.

19. Complaints
19.1. In the unlikely event of dissatisfaction, complaints should be submitted in writing to:

20. Governing Law
20.1. These Terms and Conditions and all associated contracts shall be governed by and construed in accordance with the laws of England and Wales.
20.2. Any disputes arising shall be subject to the exclusive jurisdiction of the English courts.
